User Agreement

This User Agreement is entered into between you (hereinafter referred to as “user”, “customer”, “you” or “your”) and FiatMatch, Inc (“FiatMatch”, “we”, “us”, “our”, or “Company). You must carefully read this User Agreement and our Privacy Policy (collectively referred to as “Agreement”) before using any of the services available through the FiatMatch website and mobile application (collectively, “Services). By accessing or using any of our Services, you confirm that you have read, understand, agree, and accept to be bound by this User Agreement and our Privacy Policy. FiatMatch is a financial technology company headquartered in Canada with a value-focused peer-to-peer international money transfer community marketplace for immigrants, offshore workers, freelancers, and small businesses. In addition to our financial solutions, FiatMatch also offers immigrant support initiatives including The Immigrant Library, FiatVault Podcast, and FiatSuccess Events.
Definitions

Fiatmatch Remittance Marketplace is our online money transfer community that connects you and other community members directly to various foreign exchange and money transfer sources.

FiatMatch Community Members (FiatMatchers) are all individuals like you, local currency providers and businesses registered to engage in international money transfer services on the FiatMatch Remittance Marketplace via our website, web application and mobile application.

Community Offers are offers posted to FiatMatch Remittance Marketplace by other individuals like you.

Vendor Offers are offers posted to FiatMatch Remittance Marketplace by local currency exchange shops and vendors.

Recipient is the person you select to be the beneficiary of the money you want to send via the FiatMatch Remittance Marketplace.

Mid-Market Rate is the actual and official market rate, and the midpoint between the buy and sell prices of any two currencies.

Parallel Market Rate is the black-market rate or the currency exchange rate in a dual system.

KYC is the acronym for Know Your Customer, a regulatory and mandatory requirement of identifying and verifying the identity of customers when opening and registering an account with us.

Transfer Rules are guidelines, announcements, regulations, and rules of engagement across all FiatMatch Services, disseminated via email, notification center on the user dashboard, or within our mobile app or website.u.

Offers (Post Offers, See Offers, and Default Offer) give you the flexibility to choose your most preferred way of sending money. You can post an offer, or view offers posted by other FiatMatch community members, or you may decide to use the default offer of the day.

Negotiations are optional. When posting a currency exchange offer, every user is presented with the option to open their offer for negotiation or select a fixed rate. When negotiation is prompted, an interested buyer and seller can negotiate currency rates via a private instant messaging session where the selected rate can be adjusted as agreed by both parties.

Top-up services are global mobile airtime top-ups, gift-card purchases and utility/bill payments.
Eligibility

Fiatmatch Remittance Marketplace is our online money transfer community that connects you and other community members directly to various foreign exchange and money transfer sources.

Have the capacity to enter into a legally binding agreement;

Accept and agree to the terms of this User Agreement and our Privacy Policy

Be at least 18 years or older;

Open and use the account exclusively for yourself and not on behalf of a third-party or entity;
-
Be a resident of a jurisdiction FiatMatch operates;
-
Accept, comply and agree to be bound by all applicable local, national and international laws, rules and regulations;

Not use or intend to use the service for any criminal activity or violate any applicable laws, rules and regulations, including but not limited to anti-money laundering and anti-terrorist financing;

Not be an existing FiatMatch account holder or previously suspended, removed or banned from using any of FiatMatch services;
Personal Account Registration and Maintenance
We require that you create an account before you can gain access to our international money transfer and top-up services. All information provided by you to us must be true, accurate, and complete. To ensure the accuracy and truthfulness of your information; to ensure the safety of all FiatMatchers; and to comply with relevant laws, rules and regulations, you agree and authorize FiatMatch to obtain information about you and verify your identity and the truthfulness of the information you provide to us through relevant third-party KYC (know-your-customer) resources. If we believe or detect that you provided missing, untrue, incomplete, or misleading information, we may refuse, suspend or discontinue your access to our Services.
You must not create or have more than one account.
You must never share your login information with any other person or entity.
You must, at all times, ensure the utmost security of your account. It is your responsibility to safeguard your account by protecting your username, password, personal identification number (PIN), one-time-passcodes, and other authentication codes and biometric information used to access your account.
FiatMatch assumes no liabilities for any loss arising from the use of your account by you or any third party or entity with or without your authorization.
In your account dashboard, you will find various security options to safeguard your FiatMatch account. We expect you to activate all security features to provide multi-layered protection of your account.
If you believe the security of your account is compromised, CONTACT US immediately at support@fiatmatch.com, and change your password and PIN (personal identification number) at once.
Business Account Registration
Businesses that are interested in using our services to pay offshore employees or suppliers are required to create an account in the legal business name and provide relevant KYB (know-your-business) information to help us verify the legitimacy of the business and the identity of major shareholders of the company. Business account registration can only be created by an authorized representative of the company. For all business account inquiry, please contact us at info@fiatmatch.com.
Vendor Account Registration
Local currency shops or currency exchange agents who are interested in listing currency exchange offers on the FiatMatch Remittance Marketplace must be registered by FINTRAC (Financial Transactions and Reports Analysis Centre of Canada) or the applicable authority in the jurisdiction they operate, given that FiatMatch operates in that region as well. Restrictions

You must never use or intend to use our services for fraud, money laundering, terrorist activities, human trafficking, gambling services, purchase or sale of firearms, tobacco or other controlled substances, or for any purpose that is unlawful or violates any applicable local, national, or international laws, rules and regulations.

You must never use or intend to use our services for activities associated with any form of adult content or website, sexually-oriented or escort services, pornographic or obscene materials or services.

You must never use our service to harass, intimidate, abuse, threaten or incite violence, hate or discrimination.

You must not engage in phony activities including but not limited to using malware to disrupt our services, hacking usernames or password mining, using a proxy to access our services, testing the vulnerabilities of our services, directing large load to our servers, engaging our services with the intention to copy or replicate any part of our website, web app, or mobile application.

You must never share your personal or contact information with other FiatMatch Community Members.

You must never send money directly to other FiatMatch Community Members.

FiatMatch is a peer-to-peer international money transfer company and not an FX trading company. You must never use our marketplace for FX Trading or for currency manipulation.
Money Transfer Options

Community Offers
This is our peer-to-peer money transfer channel which allows you to view and send money using offers posted by other community members like you. You can also post currency exchange offers in the marketplace and wait for other community members to contact you. When you or other members activate negotiation, you are signalling that you are open to negotiation and willing to reduce the original currency rate you provided in your advertisement. -
Vendor Offers
These are offers made available directly by local currency shops, agents or vendors. They are typically not negotiable but in very few instances, local partners may provide the option to negotiate their rates. -
Default Offer:
If speed is of the essence and you are not interested in either posting an offer or negotiating with other community members, you can utilize the default offer to send money in minutes.
No Financial or Professional Advice
FiatMatch is not your agent, broker or advisor and has no fiduciary relationship or obligation to you in connection with you swapping or exchanging currencies with other users in the Fiatmatch Remittance Marketplace or for other decisions you make when using the Services. No information including but not limited to currency rates provided on the FiatMatch Remittance Marketplace or to you by FiatMatch is intended as or shall be considered or construed as, trading advice, financial advice, or any other kind of advice.
Account Limits
FiatMatch reserves the right to set, increase or decrease account threshold and limits. You may request a limit increase in special circumstances, e.g., when paying tuition fees. However, we may request additional information when you make such requests.
Communications and Negotiations.
For your safety and the security of our community marketplace, it is mandatory that all your communications with other users relating to negotiations and currency exchanges remain in the private chat room on our platform, where they can be reviewed by a FiatMatch staff in case of any disputes. NO COMMUNICATIONS SHOULD BE TAKEN OUTSIDE THE CHAT ROOM. NO PERSONAL OR CONTACT INFORMATION MUST BE EXCHANGED WITH OTHER COMMUNITY MEMBERS, AND YOU MUST NEVER SEND MONEY DIRECTLY TO OTHER COMMUNITY MEMBERS. When you have negotiated and agreed on a rate with a community member, each party to the negotiation must send the money to FiatMatch for execution and disbursement to each party’s recipient.
When you post an offer, you will receive a notification immediately after another user shows interest. You are expected to proceed to our platform at once. NOTE: All members must be respectful in their conversations with other members. If you activated negotiation, you are required to chat with the interested community member and find a mutually acceptable rate. Make sure you are able and ready to make payment within 15 minutes before confirming your acceptance of the rate and clicking the button to proceed to payment. We ask that you do not initiate a chat session or waste the time of others if you are not interested in completing the transaction.
When you post an offer with a fixed and non-negotiable rate, you must make payment to FiatMatch immediately you receive notification that your offer has been accepted by another user.
When you post a negotiable offer or agree and confirm to another community member your intent to proceed with a negotiated currency exchange offer, you must complete the transaction. Do not enter into a negotiation with any FiatMatch Community Member, or post an offer in the marketplace if you do not intend to complete the transaction.
While you are free to negotiate at will with other FiatMatch community members, we strongly advise that you do not waste the time of others. NOTE THAT YOUR ABILITY TO ACCESS OFFERS THAT ARE OPEN FOR NEGOTIATION MAY BE RESTRICTED IF UNUSUAL BEHAVIOUR IS DETECTED.
Transaction Cancellation
You may request to cancel a transaction at any time during rate negotiation with another community member. DO NOT AGREE OR CONFIRM THAT YOU WANT TO PROCEED WITH A TRANSACTION AFTER NEGOTIATING A RATE IF YOU DO NOT WISH TO COMPLETE THE MONEY TRANSFER REQUEST. IF, HOWEVER, YOU HAVE MADE PAYMENT TO US TO COMPLETE YOUR MONEY TRANSFER REQUEST AND YOU DECIDE AFTERWARDS THAT YOU DO NOT WANT TO CONTINUE WITH THE TRANSACTION, YOU MAY BE ELIGIBLE TO REQUEST A REFUND IF THE MONEY TRANSFER STATUS IS PENDING AND THE FUNDS ARE NOT ALREADY DISBURSED TO YOUR RECIPIENT. A REFUND FEE OF $3 WILL BE DEDUCTED FROM YOUR FUNDS WHEN YOU MAKE SUCH A REQUEST. YOU, THEREFORE, UNDERSTAND AND AGREE THAT FIATMATCH WILL NOT BE RESPONSIBLE TO MAKE REFUNDS TO YOU OR ANY THIRD-PARTY FOR COMPLETED TRANSACTIONS WHERE FUNDS ARE ALREADY DISBURSED TO YOUR RECIPIENT.
Payment and Fees
Acceptable payment methods for your country or region will be displayed to you when you initiate a transaction. An applicable (flat) per transaction fee will also be displayed to you if applicable. By confirming to proceed with a transaction, you agree and authorize us to deduct any applicable fees from the payment you make to us to complete your money transfer and/or refund request.
Refunds
You will be entitled to a full refund when you make payment to us and the other party to a negotiated transaction fails to make payment to us for the same transaction. In certain circumstances where you and the other party to a negotiated transaction have made payment to us and you decide to request a refund and not continue with the transaction, a refund minus a $5 fee will be charged to you. Note, refunds will only be made to the payment source you used to make payment to us.
NOTE: WE DO NOT MAKE REFUNDS FOR COMPLETED TRANSACTIONS AND FUNDS THAT ARE ALREADY DISBURSED TO YOUR RECIPIENT. If you do not wish to proceed with a transaction, do not confirm an offer or make payment to us to complete your money transfer request.
Account Termination and Suspension
FiatMatch reserves the right to suspend, freeze or close your account at any time. When a freeze or suspension is placed on your account, your transaction will be delayed and you may or may not be entitled to a refund. We may suspend, freeze, or close your account for any of but not limited to the following reasons:

If we suspect misuse or have reason to believe that you are engaged in suspicious activity;

If you falsified or provided misleading verification information about yourself or your finances

If you attempt to engage or use our services for money laundering, terrorist financing or any fraudulent activity

If you use or attempt to use a fraudulent payment instrument to complete a transaction

If you use an anonymizing proxy to access FiatMatch services

If you violate any applicable laws, rules and regulations

If you violate any of our community rules including but not limited to using discriminatory language, harassing, intimidating, threatening, or engaging in disrespectful behaviour

If you by any means engage in or attempt to copy or reverse engineer all or any part of our website or mobile application

If you refuse to cooperate in an investigation involving your use of the services

If you are in violation of this User Agreement or any of our policies
We may further proceed to close your account if we find you to be in violation after investigating your account activities.
